THESE TERMS AND CONDITIONS OUTLINE THE RULES AND REGULATIONS FOR THE USE OF VROOM DRIVE INDIA PRIVATE LIMITED'S WEBSITE www.vroomdrive.com.

VROOM DRIVE INDIA PRIVATE LIMITED IS A PRIVATE LIMITED COMPANY REGISTERED UNDER THE COMPANIES ACT, 2013 HAVING CIN NO: U60300KA2016PTC093271 AND HAVING RESISTERED OFFICE SITUATED AT NO. 150, 12TH CROSS, J.P. NAGAR. 2ND PHASE BANGALORE 560078:

BY ACCESSING THIS WEBSITE, WE ASSUME YOU ACCEPT THESE TERMS AND CONDITIONS IN FULL.

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: "Client", “User”, “You” and “Your” refers to you, the person accessing this website and accepting the Company’s terms and conditions. "The Company", “Ourselves”, “We”, “Our” and "Us", refers to our Company. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing law of India. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

1. APPLICABILITY OF TERMS AND CONDITIONS:

These T&Cs will apply to:
  • • You because you are the person who is registered and identified at the time of booking the vehicle and to pay for the rental and any associated costs till the end of hire period;

2. AUTHORISATION TO RENT AND DRIVE:

2.1. WHO CAN RENT?

Any person who:

  • • Is legally capable of entering into a legally binding contract as per the applicable laws and is prepared to accept responsibility for the Vehicle throughout the Hire Period; and
  • • Has the means to pay for the hire of the Vehicle and any associated costs that will be accepted by us (see table below);

  • • Provides valid identification documents as indicated in the table below so that we can verify their identity.

    2.2. Who Can Drive The Vehicle?

    The user of a Vehicle will be any person who is deemed by us to be authorized to drive the Vehicle because they comply with all of the following requirements:

    • they are expressly mentioned and fully identified at the time of booking the services as either the client or an additional driver;
    • they have provided a valid driving license and a valid identification document according to the requirements mentioned above; and
    • they hold a full and valid driving license
    • They comply with the minimum age requirement i.e. 21years and above.
    • 2.3. Who Cannot Drive The Vehicle? (An ‘unauthorized User’)
      • Any person that is not expressly mentioned or identified at the time of booking the services
      • Any person who cannot provide valid identification documents as indicated in sections
      • • An unauthorized driver will not be covered by any of the insurance or protection products we offer. Only third party liability insurance (compulsory protection) will apply.
      • • If you allow an unauthorized driver to drive the Vehicle, then you are considered to be in breach of the Contract and you will be responsible for any consequences that may arise as a result. This will include compensating us for any damage caused by you and/or the unauthorized driver

    3. Prohibited Uses:

    The use of VROOM cars under following conditions is strictly prohibited:

    • to be used for rehire, mortgage, pawn, sell or in any way pledge or attempt to or give anyone any legal rights over the Vehicle or any part of it or any of its accessories;
    • to carry passengers for hire or reward;
    • to carry more passengers than is recommended by the Vehicle’s manufacturer;
    • by any person under the influence of alcohol, hallucinatory drugs, narcotics, other illegal drugs or any other substance (whether legal or illegal) that is liable to impair driving ability;
    • to carry flammable and/or dangerous merchandise; toxic, harmful and/or radioactive products or those that infringe applicable local laws and regulations, or to transport merchandise with a weight, quantity and/or volume in excess of what is recommended by the Vehicle’s manufacturer;
    • for racing, off-roading, reliability trials, speed testing or to take part in rallies, contests, or trials, wherever they are located, official or not;
    • to transport of animals
    • to give driving lessons;
    • to push or tow another vehicle or trailer;
    • to intentionally commit an offence or any illegal activity;

    Non adherence to above conditions and any other unwarranted, unauthorized, unreasonable, illegal and misappropriate use of VROOM vehicles will be termed as violation of these terms and conditions.

    VROOM may take appropriate action in concern with the authorities and immediately terminate the services. Upon termination or any type of offence or non-adherence of the terms and conditions the same client will be barred from using VROOM services in future.

    4. Booking Vroom Drive’s Vehicles:

    4.1. Reservation is required for all potential booking. Client can book the vehicle through website or mobile app (android and iOS). Client must always reserve a vehicle in advance of use and will be billed for usage fees at the time of reservation.

    The following are the main steps to book VROOM’S vehicles

    • First Step: Selection of the service
      Enter your rental criteria in the online booking form including rental dates, rental locations and choice of vehicle.
    • Second Step: VROOM'S offers
      Based on the criteria you provide; VROOM may provide you with several offers matching your request. The ‘offer' is defined as: - a service, which includes a selected vehicle category available for a chosen duration with selected options (if any) and a rate. You will then be asked to select the offer that best fits you.
    • Third Step: Acceptance of the offer
      You will then be able to add extras or additional protections by clicking on the desired items. The cost of each selected items will be added to the final price of your rental.
    • Fourth Step: Confirmation
      Once you have completed your booking, you will be required to click on the “check out” box to temporary book the selected offer.
    • Fifth Step: VROOM'S notification
      After filling in your customer details, you will be asked to verify your booking summary and then to give your acceptance to your booking. For that purpose, you will be invited to read the applicable Terms and Conditions of Hire and if you agree to these terms, you will then be able to finalize your booking by clicking on the Payment options.
    • Sixth Step: VROOM'S notification
      VROOM will send you a booking confirmation including your reservation number. The confirmation email will include the main details of your reservation.
  • 4.2. Client is required to fulfill the below mentioned conditions at the time of taking the possession of the Vehicle for scheduled ride/trip:

    a) Client must carry the original driving license, which is being shared with VROOM at the time of opening of account/booking of the ride with VROOM. Client must show the same to the representative of VROOM available at location, where the possession of the Vehicle is supposed to be taken by Client;
    b) Client must carry and support VROOM in capturing the image of any one out of following documents in original, as an additional document to be placed on records of VROOM to justify his/her identity:
    i) EPIC (Electoral Photo Identity Card), commonly known as Voter ID; or
    ii) Valid Passport; or
    iii) Aadhaar Card from Unique Identification Authority of India; or
    iv) Government Department (Including Public Sector Undertakings) Identity Card; or
    c) Client must co-operate with the representative of VROOM in taking a photo of Vehicle along with Client, which is meant for safety of Client and record purposes of VROOM.

    Client shall be held solely responsible, if any of the above conditions are not being completed successfully at the time when possession of vehicle was supposed to be taken by Client and VROOM reserves the right not to handover the possession of Vehicle. Consequently, the booking will stand completed without any further onus of VROOM to refund or return the booking amount.

    5. Cancellation, Modification or Extension of Booking:

    For cancellation/ Modification of booking please refer Fee Policy available on the Website www.vroomdrive.com.

    Extension of Booking:

    In case you want to extend the Hire Period you must contact us at least 4 working hours before the end of the Hire Period or any previously agreed extension provided the below mentioned conditions are satisfied;

    (i) The vehicle is available for extension (i.e., it is not booked by any other client)
    (ii) Payment for extension period has been made and received by VROOM;

    If you do not contact us in time, or do not pay the extension fee, then,you will be deemed to possess the vehicle without authorization and must hand over the Vehicle to VROOM’S parking or its representative without fail/ delay.

    We allow you a grace period of 30 minutes after the end time and date and if you don’t return the Vehicle within this period then we will charge you the late returning charges mentioned on the platform at the time of availing the services, post which next hour rental will be applicable also the delay beyond expected time will be making you guilty of breach of terms and conditions and your involvement in theft of the vehicle would be presumed without any doubt.

    In the event your reservation is not extended successfully (even if you have put in a request for extending the reservation but which has not been confirmed or has been denied by VROOM for any reason) and you do not return the car to the correct and designated VROOM space by the end time of your reservation, VROOM reserves the right to initiate the criminal proceedings against you and simultaneously will make all reasonable efforts to take possession of the vehicle from you immediately or any time thereafter, and at any location

    6. CLIENT’S RESPONSIBILITIES FOR CONDITION OF VEHICLE, REPAIRS AND FUEL:

    6.1 Prior to taking possession of a vehicle at a designated location, you must do an exterior walk-around and an interior look-over. Before driving the vehicle, you must advise VROOM of any damage or abnormality encountered on the vehicle or in the operation of the vehicle. If VROOM is not notified of a problem at the start of a reservation, you will be deemed to be responsible for any problem with the vehicle discovered or reported after your reservation, including, without limitation, damage to the vehicle or lack of cleanliness. You may be charged a damage fee, a cleaning fee, or other applicable fees, and VROOM may suspend, or may even terminate your services in future.

    6.2. The client undertakes to treat the vehicle appropriately and with due care, especially to check regularly that the engine oil level is sufficient and to check regularly that the vehicle is in a roadworthy condition and to make routine inspections: for ex, water and coolant levels, front and windscreen washer fluid, tyre pressures and take any preventive measures necessary to keep the vehicle in good working order and to properly lock the vehicle by its anti-theft devices when it is parked or left unattended.

    6.3 Vroom Drive pays for the fuel. Each booking comes with 10 km/hr. You can still drive more than free km. but there is Excess km charges to be paid for the additional Kilometers. Pls refer tariff page for excess km charges. If you are driving a long distance then you need to refuel the vehicle. After your trip completion, just handover your fuel receipt to the fleet executive, Vroom Drive will reimburse you the amount based on the verifications of the bills.
    Please note that:
    a. Vehicle number should be printed on Fuel Bill. We will NOT be able to reimburse fuel bills shared with us later.
    b. The fuel expense needs to reconcile reasonably with the distance travelled.
    c. The fuel expense needs to reconcile reasonably with the standard fuel efficiency of the car.
    d. The date on the fuel bill should fall within the booking period.
    e. Hand-written/ Manual fuel bills be considered invalid.

    6.4. Subject to normal wear thereof, the vehicle shall be handed over to VROOM in the same condition it was in at the start of the Hire Period. In the event of any damage to the vehicle or any of its part the Client’s liability is limited up to INR 7500 and in case of loss or damage of the papers or documents pertaining to the vehicle during the hire period, the user/ client agrees to pay charges for repair and/ or replace damaged vehicle part and all the expenses incurred by VROOM in applying for such documents and the user will also be liable to pay a fine of INR 3000 (Three Thousand Rupees Only) to VROOM on demand

    6.5. Drive the Vehicle in accordance with all applicable road traffic laws and regulations and ensure that you are familiar with all relevant local laws and driving regulations. You are responsible for any traffic violations incurred due to your inappropriate use of a VROOM vehicle. This includes, but is not limited to: unauthorized parking, excess speeding, breaking red light, photo enforcement, and toll violations. You are solely liable for all costs imposed due to any such violation during the concurrence of your trip/ride/booking, including fines for late payment and any processing fees added by the respective regulatory authority. You are liable for payment of all tolls and any fines for toll evasion. You must report such violations to a VROOM representative, as soon as possible, within the prescribed timeline for the violation (for example, if the case is being taken to court). VROOM will notify the Client immediately by e-mail after it comes to know about any of such violation and Client shall forthwith pay the relevant fine/s to the authority concerned and provide VROOM with the proof of such payment, failing which VROOM will pay those amounts and Client shall reimburse the same to VROOM at earliest. However, where Client has personal knowledge of such violations, VROOM will not be obligated to provide Client with the notification as above, but Client’s obligation to pay the relevant fine/s and notifying VROOM of such compliance will continue as aforementioned.

    6.6. Not smoke in the Vehicle nor allow anybody else to do so. If we reasonably think that smoking has happened in the Vehicle may lead to immediate termination of services, without any refund also you must pay our cleaning fees.

    6.7. Ensure that any luggage or goods transported in the Vehicle are secured to the extent they will not cause damage to the Vehicle or cause risk to any passengers or to any third party or to any third party property.

    6.8. Ensure that you will not drive on gravel roads or roads that are unfit for motor vehicles or where the surface or condition of it involves risks for the tyres or for the underside of the Vehicle or for the Vehicle itself,such as beaches, forest paths, mountains, etc.;

    6.9. Reserving Client is responsible for all charges and costs incurred related to VROOM vehicle for the entire period of the reservation and until the vehicle is returned, secured, closed, locked and serviceable (all accessories off, key out of ignition and in proper place, all windows, doors, hatches, sunroofs and other openings closed, toll payment pass and parking pass and other accessories in the vehicle) to its designated location. VROOM vehicles must be returned no later than the end time of the reservation and the Client scheduled trip/ride comes to an end automatically and will be governed as per the provisions of clause 5 above if extension is sought.

    6.10. The client shall ensure that he returns the vehicle at the predicated location and by the enddate and time of hire period. We allow you a grace period of 30 minutes after the end time and dateand if you don’t return the Vehicle within this period then we will charge you the late returning charges mentioned on the platform at the time of availing the services, post which next hour rental will be applicable.

    6.11. You must not allow any unauthorized driver to drive the Vehicle which includes you deliberately allowing the unauthorized driver access to the Vehicle or the access being acquired due to your negligence, negligent act or failure to act.

    If you fail to fulfill any or all of these obligations then, it may cause the insurance and protection provisions to be compromised and/or invalidated and you will be responsible for and will pay to us all reasonable costs of any detrimental consequences, loss and/or damage that may arise as a result. In addition we reserve the right to demand immediate return of the Vehicle if the contracted and/or optional insurance coverage and complementary services arecompromised and/or invalidated.

    Disclaimer Regarding Services

    The client acknowledges that the use of the services is at his sole risk. VROOM shall not be responsible or liable for any loss or damage, howsoever caused or suffered by the client arising out of the use of the services or for any reason whatsoever whether or not beyond the control of VROOM

    7. Services Covered in Rental:

    Technical assistance to the vehicle for breakdown recovery due to mechanical faults ( not client/driver error or abuse)
    The initial cleaning of the vehicle
    Basic insurance and protection package
    Third Party Liability Insurance
    Additional Services and Products not Included in Rental:

    8. WHAT IS INCLUDED IN THE PRICE PAID BY CLIENT?

    The information you provide to us at the time of booking (such as the duration of the Hire Period) will determine the price you pay. Any change to that information could therefore also mean that the price changes.

    The price of your rental will be those prices in force at the time of booking or at the time you make any changes to that booking.

    The price you will pay comprises the following items:

    8.1. The daily rental charge for the Vehicle for the agreed number of calendar days (this will include the standard inclusive ancillary services (see section 5 above for details))

    8.2. The cost of both third-party liability insurance and our Basic Protection package.

    8.2.1. Neither of our waiver covers nor does any of our excess reduction products protect you for:

    • Loss or damage to the Vehicle and/or accessories caused by client/ driver abuse, negligence or breach of the Contract. In these circumstances you will be responsible for and must pay all of our losses and damages and you agree to pay all relevant charges and a damage administration fee (as set out in the Tariff Guide) for each incident; or
    • Any goods or personal possessions that you carry in a Vehicle (which are carried at your own risk) or which are left in the Vehicle when you return it to us.
    • 8.3. Any additional services you choose to add at your extra cost

      8.4. Service tax and other applicable taxes;

      To ensure there is no confusion (and in case you did not book through the websites or via our Reservations Centers) we want to confirm that in addition to the cost of the daily rental charge (that you either prepaid at the booking stage or will pay at the time of pick-up) we will ask you to leave us with some security for any additional charges that may arise during your use of the Vehicle over the Hire Period. This security is in the form of a financial deposit which is determined by the category of Vehicle that you are renting from us, the extent of the Hire Period and any additional products and/or services you select at the time you pick-up the Vehicle

    9. Road Side Assistance and Replacement Vehicle:

    Road side assistance is available to all renters. The services for road side assistance and replacement of vehicle may be provided in accessible areas (subject to availability of resources and vehicle in similar segment in the city) in such cases where the Vehicle develops such a problem that restrains the User from its use. VROOM shall make all efforts to ensure that the Vehicle manufacturer or a third party partner of VROOM provides road side assistance to the User in such cases. VROOM's decision related to replacement of the vehicle shall be final. However, VROOM provides no guarantee that such replacement vehicle will be made available.

    The Client should not leave the vehicle unattended until the road side assistance service is provided

    10. ACTION FROM CLIENT/ DRIVER IN CASE OF ACCIDENT OR MECHANICAL BREAKDOWN:

    10.1 In case of Accident:

    In case of accident client/ any authorized driver must call immediately on 080 – 22531122 or as updated time to time on website www.vroomdrive.com. If you don’t do so, or you continue to drive vehicle, then you are responsible for any loss or damage caused to vehicle or to third party and for all applicable charges associated with such loss/ damage together with damage administration fee for each incident.

    10.1.1 If you or any authorized driver has an accident/ incident you or that driver must:

    • Accept the responsibility;
    • Obtain and notify us of the names and addresses of all involved, including witnesses;
    • Make the vehicle secure and give true and fair statement to police of any injury or the damage happened to third party due to accident/ incident and obtain a copy of FIR;
    • Call immediately to inform us on 080 – 22531122;
    • Fill and return the accident report form provided with the vehicle

    10.1.2 You will use your best endeavors to supply us with full details of any third party (ies) and third party vehicle(s) involved in any accident/incident with the Vehicle. Failure to do so may invalidate the Protection package.

    10.1.3 We will not (either on our own behalf or on behalf of any insurers) waive any rights under the Contract or any applicable insurance policy unless we do so in writing (which must be signed buys or the insurer as applicable).

    10.2 In case of breakdown

    10.2.1 If a warning light appears on the dashboard or the Vehicle develops any fault during the Hire Period you or any other Driver must call the telephone number stated on the invoice/ available on website.

    10.2.2 If the Vehicle cannot be repaired we will (where possible) provide you with an alternative Vehicle of an equivalent standard and size to the Vehicle for the remainder of the Hire Period.

    10.2.3 If we cannot repair the Vehicle or provide you with an alternative vehicle we will provide you with a refund for any part of the Rental Period that you have paid for but not received the benefit of.

    If, and only if, the breakdown or accident or incident is due to Mechanical failure or willfuldefault thenVROOM will not charge you for the cost of recovery and/or repair (if any).

    Should we consider that the breakdown is caused by the negligence or deliberate misuse or if loss of or damage to the Vehicle arises as a result of a breach of the Contract by you and or any additional Driver and/or any unauthorized driver then you will be responsible for and will pay to us the cost of the repair of the Vehicle (if there is damage and or loss caused to the Vehicle) and a fee for recovery of the Vehicle plus a towing charge per mile (if applicable) at the rates set out in the Tariff Guide but ultimate responsibility will be with you.

    11. Insurance and Liability:

    11.1 If client is in full compliance with the terms and conditions of VROOM’S policies being mentioned at www.vroomdrive.com , VROOM shall provide primary third party liability protection, which will be to the extent of claims / liabilities covered by VROOM’S vehicle insurer, on VROOM’S vehicles for any/ all claims and/or liabilities arising during the use or operation of the vehicle by the client. Client will be responsible for any associated deductible charges directly/indirectly personally attributable to the client’s default or otherwise as per discretion of VROOM.

    11.2 If at any time it is determined that losses/claims mentioned hereinabove will exceed the insurance coverage taken by VROOM, client will be responsible for any such excess claims/ loss/ damages.

    11.3 VROOM is not responsible for any damage to, loss or theft of, any personal property belonging to client or co-passenger or third-parties, regardless of fault or negligence.

    11.4. Liability protection applies only to claims of third-party bodily injury, death or property damage, other than to the vehicle, arising from the use of VROOM vehicle as permitted by this agreement and applicable law. Any such protection excludes any claim made by client or co-passenger or client’s/co-passenger’s immediate family clients who permanently live with client or is travelling with client at the time of incident. This obligation may be limited to the extent vroom’s coverage applies. VROOM shall not be liable to client/co-passenger for any indirect, special, punitive, or consequential damages (including lost profits) arising from or related to vroom vehicle, its use, or this agreement.

    12. Data Protection:

    12.1 We collect and process your personal information including, but not limited to, name, e-mail id, internet protocol address, copy of driving license and any other additional address cum identity proof, image of the customer, the usage and vehicle data as they relate to the Client, strictly to the extent necessary to assist us in providingyou with Vehicle rental services and to maintain and improve of our administration.

    12.2. You are informed of any information that we need to collect whether in the VROOM Station or online or via our Reservation Centers.

    12.3. Should third-party services be used, VROOM is entitled to forward to the third-party service provider the Client’s Personal data, to the extent this is required in order to fulfill the objectives of VROOM(For ex: for checking the purpose of checking client’s identity)

    12.4. We will keep a record of any breach of the Contract, suspected fraud or accident history to help us with future decisions about you and/or any Named Driver.

    12.5. Where you have agreed we will use the personal information for marketing purposes such as special promotions and loyalty programs.

    12.6. VROOM shall implement and maintain reasonable procedures for protecting sensitive personal information in compliance with applicable law.

    By accepting these Terms & Conditions you expressly acknowledge having granted your explicit consent with the privacy policy contained on the platform and notwithstanding anything contrary contained herein, Client shall be governed by the same privacy policy of VROOM being mentioned on the website www.vroomdrive.com.

    13. Termination:

    • Either party may terminate the Rental Agreement at any time if the other party commits a material breach of the Rental Agreement.
    • If you want to terminate your agreement with VROOM, you may do so by
      • not accessing the Website; or
      • Closing your Account for all of the Services that you use, where VROOM has made this option available to you.

    Irrespective of anything to the contrary stated in this Rental Agreement, the Company shall be entitled to end this agreement without any explanation at any time by notice (oral or in writing depending on the situation) to the Client, and when this happens the Client shall return the vehicle to the Company immediately. If the Client fails to return the vehicle to the Company, the Company shall be entitled at any time to retake possession of the vehicle, wherever found and from whosoever has possession thereof. The obligations of the Client and the rights of the Company under this Rental agreement shall remain in force until the vehicle has been returned to the Company in terms of this Rental Agreement and the Client has complied with all his obligations. Any costs incurred in recovering the vehicle will be for the account of the Client

    14. Force Majeure:

    Neither party shall be liable for failure in its performance hereunder caused by any case of Force Majeure. "Force Majeure" shall be considered - as defined by the applicable regulation(s) - as any irresistible or unforeseeable event, independent of the party suffering of the case of Force Majeure, which prevents this party from fulfilling its obligations. For example: by reason of labour disputes, strikes, acts of God, floods, lightning, severe weather, shortages of materials, rationing, utility or communication failures, earthquakes, war, revolution, acts of terrorism, civil commotion, acts of public enemies, blockade, embargo or any law, order, proclamation, regulation, ordinance, demand or requirement having legal effect of any government or any judicial authority or representative of any such government, or any other act whatsoever, whether similar or dissimilar to those referred to in this clause, which are beyond the reasonable commercial control of VROOM or its third parties performing such services as sub-contractor to VROOM and could not have been prevented by reasonable precautions (each, a "Force Majeure Event"), then VROOM shall be excused from such performance to the extent of and during the period of such Force Majeure Event. VROOM shall exercise all reasonable commercial efforts to continue to perform its obligations hereunder.

    15. Vroom’s Rights:

    15.1. To maintain and protect the Vehicle and to prevent and detect crime we may use electronic devices to monitor the condition, performance and operation of a Vehicle and/ or to track a Vehicle’s movements. This information may be used both during and after termination of the Hire Period. By accepting these terms and conditions you expressly acknowledge having granted your explicit consent to the use of such electronic devices.

    15.2. In case of any breach on the client’s part of the terms and conditions hereof, VROOM reserves the right to retrieve the vehicle and for such purpose may enter the property where the vehicle may be situated and take away the same and the client shall be responsible for and shall assure the VROOM against all actions, claims, costs and damages resultant from such retrieval or take away.

    15.3. To retain the credit/ debit card/ internet banking/ e-wallet details of the client in order to satisfy any claim that may arise in future due to any reason featured to the client

This may include, without limitation, disclosure of information related to investigation of alleged/ solicitation of illegal activity or in response to court order or summons any for any other lawful purpose.

    16. Indemnity:

    16.1 The User hereby releases and agrees to indemnify VROOM from and against any liability for loss or for damage to any property (including costs relating thereto) left, stored or transported by the User or any other person in or upon the Vehicle before or after return of the Vehicle.

    16.2 The User shall be solely responsible for and shall keep VROOM fully indemnified against any loss, theft, damage, costs, accident or injury (including death) to persons or property, including loss, theft, damage, accident of the Vehicle, accruing in connection with the Vehicle or as a result of the negligent use thereof and against any breach of obligation by the user of the Vehicle.

    16.3 The User shall keep VROOM fully indemnified including its directors, employees and shareholders against all losses, liabilities, costs actions, claims, any fines or penalties imposed (Losses) in respect of these Terms and Conditions or arising out of or in connection with use of the Vehicle including Losses on account of any third party liability, damage to the vehicle, accidents, illegal use of the Vehicle, misrepresentation or breach of its obligations by the User.

    16.4 The User hereby acknowledge that for the purposes of the Motor Vehicles Act, 1988, the User shall be liable in respect of the Vehicle for any of the offences which may be committed under the applicable law and for any liability with respect to the use of the Vehicle including but not limited to any challans, penalties, third party liability, accidents and the User shall indemnify against any losses, damages, costs and liabilities etc., in this regard.

    17. Applicable Law & Jurisdiction:

    Terms of use shall be governed by the laws of India and the place of jurisdiction shall be exclusively in Bangalore.

    18. Jurisdiction for Dispute Settlement

    18.1. Any dispute arising between the parties i.e. the client and VROOM out of these terms and conditions or out of interpretation of any clauses under terms and conditions or any other policies shall be referred to a sole arbitrator.

    18.2. VROOM reserves the right to appoint arbitrator

    18.3. The overall arbitration proceedings will be governed by Arbitration and Conciliation Act, 1996. The proceedings shall be held exclusively in Bangalore conducted in a language convenient to the parties (English, Hindi or Local Language)

    18.4. The award by the Arbitration shall be final and binding. Any aggrieved party may appeal to the competent court.
